These Terms of Use / Terms of Service (“Terms”) govern your access to and use of ApexX AI websites, products, and services, including the Frontline AI receptionist, Apex Forge websites, onboarding materials, and related support (the “Services”). By purchasing, accessing, or using the Services, you agree to these Terms and our Privacy Policy and Refund & Cancellation Policy. If you are accepting on behalf of a business, you represent that you have authority to bind that business.
1. Acceptance
You accept these Terms when you click to purchase, complete Stripe checkout, begin onboarding, submit a Get Started lead, or otherwise use the Services. If you do not agree, do not purchase or use the Services. We may refuse service, cancel accounts, or restrict access for violations of these Terms or applicable law.
2. The Services
Frontline AI receptionist. We configure an AI-powered receptionist experience tailored to your business playbook—answering calls, handling common questions, capturing leads, booking appointments, and routing conversations according to rules you provide.
Apex Forge websites. Where included in your plan (or as a website-only purchase), we design and build a professional website intended to present your business clearly and support conversion.
Typical delivery is 24–72 hours after payment and receipt of required onboarding information. Timelines are estimates, not guarantees; incomplete onboarding materials, delayed access, or scope changes may extend delivery. Onboarding is required for fulfillment—payment alone does not start build work until we have the playbook details needed to configure your system.
3. Pricing, Setup, and Recurring Fees
- Plans include a one-time setup fee and recurring charges (monthly or yearly) as shown at Stripe checkout for Starter, Pro, Bundle, or Website Only offerings.
- You authorize Stripe to charge the payment method you provide for setup and recurring fees until you cancel under our Refund & Cancellation Policy.
- Prices may change for future renewals with reasonable notice; setup fees already paid are not retroactively adjusted.
- No free trials. Every engagement begins as a paid Service. Marketing language describing features is not a warranty of specific revenue outcomes.
4. Your Responsibilities
- Provide accurate business information, scripts, hours, offers, FAQs, and access needed to configure and operate the Services.
- Ensure you have lawful rights to all materials you supply (logos, copy, trademarks, phone numbers, customer lists).
- Comply with applicable laws—including telemarketing, call-recording notice/consent, TCPA/analogous rules, consumer protection, and advertising rules—for how you use the AI receptionist and any outbound uses you configure.
- Keep credentials and third-party integrations secure; notify us promptly of unauthorized access.
- Complete onboarding promptly after purchase so we can deliver within the expected window.
5. Acceptable Use
You may not use the Services for unlawful, deceptive, harassing, defamatory, or abusive purposes; to infringe intellectual property or privacy rights; to transmit malware; to attempt to reverse engineer, scrape, or disrupt our systems or providers; or to impersonate others. We may suspend or terminate Services for acceptable-use violations without refund of fees for the period of misuse, except where law requires otherwise.
6. AI Limitations Disclaimer
Artificial intelligence and voice systems may occasionally misunderstand speech, produce imperfect responses, experience latency, or fail during provider outages. Frontline is a powerful assistant, not a human employee and not a substitute for licensed professional advice (legal, medical, financial, or otherwise). We do not guarantee uninterrupted service, error-free conversations, specific booking rates, or any particular revenue result. You remain responsible for your business decisions, customer relationships, and for reviewing/updating your playbook so the system reflects current policies.
7. Intellectual Property
ApexX AI retains ownership of our platforms, prompts, templates, tooling, brand names, and marks. Upon full payment of applicable fees, you receive a limited license to use the configured Frontline instance for your internal business operations during an active paid subscription. For Apex Forge website packages, ownership or license of custom deliverables is as stated in your purchase description or written agreement; our pre-existing components, frameworks, and brand assets remain ours. You grant us a non-exclusive license to use materials you supply solely to provide the Services.
8. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Some jurisdictions do not allow certain disclaimer limitations; in those cases, our warranties are limited to the minimum required by law.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY ALABAMA AND APPLICABLE LAW, APEXX AI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS IS LIMITED TO THE FEES YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR LOST-PROFIT DAMAGES, OR FOR LOSS OF DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY. These caps do not limit liability that cannot be limited under Alabama law (for example, certain intentional misconduct where non-waivable).
10. Indemnity
You agree to defend, indemnify, and hold harmless ApexX AI and its owner, contractors, and agents from and against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content or customer interactions, your violation of these Terms or law, or your failure to provide required notices/consents to callers.
11. Cancellation and Refunds
Cancellation, setup fee treatment, cure periods, and subscription stop-billing rules are governed by our Refund & Cancellation Policy.
12. Governing Law and Venue
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law rules. Exclusive venue for disputes shall be the state or federal courts located in Alabama, unless otherwise required by non-waivable law. You and ApexX AI consent to personal jurisdiction in those courts.
13. Changes
We may update these Terms. The “Last updated” date will change when we do. Continued use after the effective date constitutes acceptance of updated Terms where permitted. Material changes affecting ongoing subscriptions will be communicated when reasonably required.
